What is a registered-office transfer?
The registered office is the legal address of your SRL, recorded in the CBE and enforceable against third parties (administration, tax, courts). Transferring it means officially changing that address — for example from a private home to a domiciliation address, or from one municipality to another. The operation is governed by the Code of Companies and Associations (CSA).
Who decides and what formalities?
Under the CSA, if the articles only state the region (not the full address), the administrative body (the manager or board) can decide the transfer within the same linguistic region on its own, without a notary. If the articles state the precise address, or for a transfer to another linguistic region, an amendment of the articles by notarial deed and a general-meeting decision may be required.
- Decision by the administrative body (or GM per the articles)
- Publication in the annexes to the Belgian Gazette
- Update of the CBE (and VAT if applicable)
The steps of the transfer
In practice the transfer follows a logical order. Anticipate publication times and notify your contacts so that no official mail still arrives at the old address.
- 1. Secure the new address (lease or domiciliation contract)
- 2. Record the transfer decision (minutes of the competent body)
- 3. File and publish in the Belgian Gazette
- 4. Update the CBE, VAT, banks, insurers and contracts
Transferring to a domiciliation address
Many managers use the transfer to leave their home address and choose a professional domiciliation address: a more credible image, privacy preserved and mail management included. The domiciliation contract serves as proof of occupancy of the new registered office.
