Why transfer your registered office?
A company changes address for many reasons: relocation, seeking a more prestigious address, switching to domiciliation to stop exposing a private address, or reorganisation. Whatever the motivation, the procedure follows specific steps.
Step 1: the decision
The transfer of the registered office must be decided by the competent body. Since the reform of company law, for many companies (such as the SRL/BV), the management body can decide alone on a transfer within the same linguistic region, without going through the general meeting — unless the articles provide otherwise.
A set of minutes records the decision and the new address.
Step 2: updating the articles
If the full address appears in the articles, a statutory amendment may be needed, sometimes before a notary. More and more companies state only the region in the articles, which simplifies transfers within that region.
Step 3: publication in the Belgian Gazette
The change must be published in the annexes of the Belgian Official Gazette to be enforceable against third parties. It is this publication that makes the new address official.
Step 4: updating the CBE
The registered office address must be updated at the Crossroads Bank for Enterprises. Also remember to inform the VAT administration, your banking contacts, insurers and, of course, your clients and suppliers.
How much does it cost?
- Without a notary (address not fixed in the articles): mainly the publication fees in the Belgian Gazette.
- With a notarial deed: add the notary's fees.
- Domiciliation: the monthly cost of the new address, often a few dozen euros.
Timeframes depend mainly on publication and the CBE update, generally a few days to a few weeks.
